Our investor base includes institutional investors, development banks, governments, NGOs, and retail banks, all of whom seek to combine both financial returns with and social/environmental impact.

Triple Jump is looking for a: Legal Counsel Regulatory

32 hours per week, based in Amsterdam, the Netherlands. You will join the Investor Relations & Business Development team. You will be responsible for the relationship management and communication with our investors (clients). You will coordinate internally and take part in the development of new investment products & services and oversee the implementation of such new products and services. You execute market research and support the overall promoting of Triple Jump and its products and services to relevant stakeholders.

  

Job description

You will join the Investor Relations & Business Development department as legal counsel and work alongside another legal counsel in the Legal & Regulatory (L&R) team. As part of the L&R team you will be responsible for the day to day legal and regulatory support and advice in relation to the services Triple Jump provides to its clients and investors and on new business initiatives and products. The role entails frequent interaction with Triple Jump business departments and other teams (e.g. Compliance, Risk & Control, Transaction & Execution, ESG, Impact & Knowledge etc.).

The successful candidate will:

  • Negotiate, draft and maintain the legal and constituent documentation for the funds and mandates managed by Triple Jump including loan, grant and subscription agreements, investor side letters, offering documents, articles of incorporation;

  • Negotiate, draft and manage the agreements for the services Triple Jump provides (including investment management, advisory agreements);

  • Provide legal overviews of negotiated documentation and communicate contractual requirements to facilitate mandate compliance by TJ teams;

  • Provide legal advice, including overviews on the risks and possibilities, and support on new business initiatives, products and projects;

  • Monitor global, EU and Dutch regulatory developments, especially with regards to AIFMD, SFDR and other applicable financial regulation and related ESMA/AFM guidelines;

  • Support in the drafting and review of policies, charters and procedures to ensure legal and regulatory compliance;

  • Assist in ensuring that key stakeholders are apprised of relevant regulations or increased regulatory risk;  

  • Work closely with the Compliance, Risk & Control, Transaction & Execution and Corporate Secretary teams as well as with the business and product development teams, and with the operational teams as needed.

 

Job requirements

  • A university degree in law with a focus on business/commercial law and ideally sustainability/impact;

  • Approximately 3-5 years of relevant experience as a lawyer in asset/investment management, either as in-house lawyer in a financial institution or at a law firm advising asset/investment management clients on corporate or regulatory matters. Experience with investment transactions into funds/investment vehicles is valued; 

  • General knowledge of commercial, corporate law and corporate governance.

  • Knowledge of EU financial regulation related to financial markets, especially relating to asset management and investment services (AIFMD, SFDR, MiFID, WfT).

  • Strong analytical and communication skills with an ability to interact with colleagues and external contacts at a professional level.

  • Open-minded, diplomatic and pragmatic while also able to express and defend her/his legal opinion in an independent and substantiated manner to different stakeholders.

  • Ability to interpret complex regulations and legal frameworks and provide clear, practical and effective support to the business teams.

  • Team player with an ability to also work independently. Able to work with a wider team of geographically dispersed highly skilled colleagues.

  • Proactive and can-do mentality, client-oriented, able to perform under pressure;

  • Fluent in English (written and spoken); knowledge of Dutch would be an advantage
